Welcome to Yolm ("Company", "we", "us", or "our"). By accessing or using our website and services, you agree to comply with and be bound by the following Terms of Service. Please read them carefully, as they contain important information regarding your rights and obligations.

1. Acceptance of Terms

By accessing and using our Service, you accept these Terms of Service. If you do not agree, you should not use our Service.

3. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States. Any dispute shall be resolved in accordance with the dispute resolution provisions set forth in Section 12.

4. Services Provided

Yolm specializes in business-specific software development and hosts the resulting solutions for our customers. Our Service includes:

Business-Specific Software Solutions: We develop software tailored to your business needs.
Hosted Service: We host the solution through our secure service.
Data Access: You have access to all your customer data and the solution-specific code developed exclusively for your use.

Important: While you may access your solution-specific code, all general or factory code remains proprietary to Yolm and is not accessible.

5. Payment Terms

Services are billed monthly on the first day of the month, with payment due in advance. Annual prepayment options are available subject to custom terms. In the event of termination, any prepaid fees will be refunded on a prorated basis.

6. Service Levels

We guarantee a 99.9% uptime for our hosted Service. If uptime falls between 99.0% and 99.9% during any billing period, you will receive a credit equal to 20% of that month's fees. If uptime falls below 99.0%, you will receive a credit equal to 50% of that month's fees. Credits will be applied to your subsequent invoice.

7. Data Ownership and Privacy

You retain ownership of all data you provide or generate ("Customer Data"). We grant you access to your data for the duration of the agreement. Our data practices are described in our Privacy Policy. We perform encrypted backups to cloud storage every hour to protect your data.

8. Intellectual Property Rights

You are granted access to the solution-specific code developed for your project. The general factory code and any non-solution-specific code ("Proprietary Code") remain the exclusive property of Yolm. You receive a limited, non-exclusive, non-transferable license to use the solution-specific code solely to operate your hosted solution.

9. Support and Maintenance

We provide support via email at support@yolm.ai. Response times may vary based on your support plan. Routine maintenance and updates will be performed as necessary to ensure the Service meets the uptime and performance standards.

10. Termination

Either party may terminate this agreement by providing 30 days' written notice via email. Upon termination, your access to the Service will end on the effective termination date, but your Customer Data will remain accessible for export for 30 days after termination. We may suspend your access if payment is overdue or if you breach these Terms, until the breach is remedied.

11. Limitation of Liability

The Service is provided "as is" and "as available" without any warranties, express or implied. To the maximum extent permitted by law, yolm.ai's total liability for any claims arising out of or related to the Service will not exceed the fees you paid for the Service in the twelve (12) months preceding the claim. In no event shall yolm.ai be liable for any indirect, incidental, consequential, or punitive damages.

12. Dispute Resolution

Any disputes arising from these Terms will be resolved exclusively through binding arbitration and/or mediation. Prior to initiating arbitration, both parties agree to attempt resolution through informal negotiations. The dispute resolution process will be conducted in a cost-effective manner appropriate for small businesses.

13. Amendments to Terms

We may update these Terms from time to time. If changes are made, we will notify you via email. Continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.

14. Miscellaneous

All notices under this agreement must be sent via email. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any referenced policies, constitute the entire agreement between you and yolm.ai regarding the use of the Service.
